Purchase terms and conditions

1. Who we are

Phlox is provided by Depicter International Integrated Services SPC, an Oman company operating under the Averta brand (“Averta”, “we”, “us” or “our”). Our registered address is Bousher, Muscat Governorate, P.O. Box 132, Postal Code 121, Sultanate of Oman. You can contact us at [email protected].

2. Scope and sales channels

These Terms apply to the Phlox website, Direct Phlox purchases completed through Paddle, and the related account, download, licensing, update and support services we provide.

Phlox purchases made through ThemeForest remain subject to the terms, license, support and refund rules for that channel. A Direct purchase does not alter a ThemeForest purchase, and a ThemeForest purchase does not automatically create a Direct entitlement.

3. Product and prices

Phlox is downloadable WordPress theme software. The Direct plans are:

  • One Site — USD 39, one-time payment, one production-site activation;
  • Three Sites — USD 49, one-time payment, up to three production-site activations.

Both plans include lifetime product updates and six months of product support from the purchase date. Taxes may be added by Paddle at checkout where applicable. The checkout total displayed by Paddle is the amount charged for the transaction.

4. Paddle’s role

Paddle is the merchant of record and authorised reseller for a Direct transaction. You purchase through the Paddle entity identified in Paddle’s buyer terms, checkout and transaction documents. Paddle handles payment processing, transaction taxes, receipts and transaction-related financial emails. We supply Phlox, the account and delivery experience, licensing and updates, and product support.

Paddle’s buyer terms govern your transaction with Paddle. These Terms, the Software License, Support Policy, Refund Policy and Privacy Policy govern the product and services we provide. Nothing in these documents limits rights that cannot lawfully be limited.

5. Delivery and account

After a successful purchase, the Direct entitlement is associated with your Phlox/Averta user account. You can download the Phlox ZIP and view and manage your activations from the user dashboard. Keep your account credentials secure and notify us promptly if you believe the account has been compromised.

Delivery may be delayed while a payment or fraud check is pending. If a completed purchase is not available in the dashboard, contact [email protected] with the transaction reference.

6. License, updates and support

Your use of Phlox is subject to the Software License. Associated staging and localhost development use is permitted without another purchase. You may transfer an available activation after deactivating the previous production site, subject to the production-site limit of your plan.

“Lifetime updates” means that, for as long as we maintain Phlox and release an update to Direct customers, you may receive that update for the sites covered by your purchased plan without another license fee. It does not promise that a particular feature, third-party component or compatibility will continue forever.

Product support is separate from updates. The included support period ends six months after purchase. Support can be renewed for another six months for USD 19; the price is the same for both Direct plans and the new period starts on the renewal purchase date.

7. Refunds

The Direct Refund Policy is part of these Terms. We offer a full refund for a request submitted within 14 calendar days after the Direct purchase, without requiring a reason. Mandatory consumer rights and any greater rights available under Paddle’s applicable terms remain unaffected.

8. Acceptable use

You must not use the account, dashboard, download or licensing services to bypass plan limits, share account access as a substitute for buying the appropriate plan, interfere with security or service operation, or distribute access credentials, private download links or commercial entitlement keys to third parties.

This section regulates access to our commercial services. It does not remove rights granted directly by the GPL or another applicable open-source license.

9. Third-party software and services

Phlox works with WordPress and may include third-party components. Those components may have their own notices and open-source terms. A Phlox purchase does not provide a standalone third-party vendor purchase code, vendor license key, vendor-only templates or add-ons, direct vendor updates or a separate vendor support entitlement. Available bundled-component updates are supplied through Phlox after compatibility review.

You are responsible for your WordPress installation, hosting environment and any third-party products you add. We are responsible for providing Phlox and the services described in these Terms with reasonable care and skill.

10. Availability, warranties and liability

We aim to keep the website, dashboard, activation and update services available, but maintenance, security work and events outside our reasonable control may cause interruptions. We do not promise uninterrupted or error-free service.

To the extent permitted by applicable law, we are not liable for indirect or consequential loss, loss of profit, loss of business or loss caused by an unsupported modification, incompatible third-party software, a hosting environment or failure to maintain backups. To the extent a monetary cap is permitted, our aggregate liability arising from a Direct purchase is limited to the amount paid for that purchase.

These limitations do not apply where liability cannot lawfully be excluded or limited, including applicable liability for fraud, wilful misconduct, death or personal injury caused by negligence, or mandatory consumer remedies.

11. Suspension and termination

We may suspend access to commercial services when reasonably necessary to protect the service, investigate fraud or abuse, enforce plan limits or comply with law. We will use reasonable efforts to notify you and restore access when the issue is resolved.

A refund ends the refunded commercial entitlement as described in the Refund Policy. Open-source rights already granted for a copy you received remain governed by the applicable open-source license.

12. Changes and governing law

We may update these Terms for legal, security, operational or product reasons. We will publish the new version and effective date and provide appropriate notice of material changes. A change will not silently remove a paid right already granted for an existing purchase.

These Terms are governed by the laws of the Sultanate of Oman. The courts of Oman have jurisdiction, except where mandatory consumer law gives you the right to bring a claim in another forum or requires another law to apply.

Software License and Commercial Entitlement

1. Plan limits

The One Site plan permits one active production-site entitlement. The Three Sites plan permits up to three active production-site entitlements. A separate active WordPress Multisite site counts as a production site unless the product documentation expressly states otherwise.

Associated staging and localhost development environments are permitted without using another paid production slot. They must support development or testing for a production site covered by the same account and may not be used to operate additional live websites or bypass the plan limit.

2. Activation and transfer

The user dashboard shows the Direct plan and activation usage. You may deactivate a production site and use the released slot for another site. There is no separate transfer fee. Repeated or automated transfers intended to share one entitlement across unrelated active sites may be treated as abuse and reviewed manually.

3. Downloads and updates

The Direct ZIP and updates are available through the authenticated account and Phlox update services. Lifetime update access remains separate from support status. Expiry of the six-month support period does not end update access.

4. Open-source components

PHP code and other components identified as GPL or covered by another open-source license remain subject to that license. Those licenses may grant rights to use, study, modify or redistribute covered code. Our plan limits govern commercial services such as account access, hosted downloads, automatic updates, activation services, demo libraries, template services and support; they do not cancel rights granted by an applicable open-source license.

Product names, trademarks, documentation, demo content, design assets and non-code materials are not automatically covered by the GPL. Their use is limited to the rights stated in the package notices or applicable license.

5. Bundled third-party components

Bundled third-party components are provided as part of Phlox under their applicable terms. Updates we make available for those components are delivered through Phlox after compatibility review. The purchase does not create a direct customer relationship with the original component vendor and does not include the vendor’s separate purchase code, premium library, add-ons, direct update service or direct support.

6. Refund and termination

When a Direct purchase is refunded, its future commercial services are revoked: activations, authenticated downloads, automatic updates and support. Records reasonably required to process the refund, prevent abuse, meet legal obligations or resolve a dispute may be retained under the Privacy Policy.

Support Policy

1. Support period

A Direct purchase includes six months of Phlox product support from the purchase date. Lifetime updates are included separately and remain available after support expires.

An optional USD 19 renewal adds six months of support. The price and duration are the same for the One Site and Three Sites plans. Each renewal period starts on the date the renewal is purchased.

2. Included support

During an active support period, support includes:

  • answers to questions about built-in Phlox features and functionality;
  • guidance on how Phlox is designed to be used;
  • assistance with reported bugs and minor defects in Phlox;
  • assistance with questions or defects involving components bundled with Phlox, within their documented integration and the version supplied through Phlox;
  • direction to documentation, an update, a workaround or another available solution where appropriate.

3. Excluded services

Support does not include:

  • customization, bespoke design or development that modifies or extends Phlox beyond its advertised features;
  • installation of Phlox, WordPress or server software;
  • fixing a hosting environment, server configuration or third-party software that is not bundled with Phlox;
  • implementing a requested new feature on demand;
  • a separate license, update or support entitlement from the developer of a bundled component.

We may still provide general guidance for an excluded matter when practical, but doing so does not make that work part of the support commitment.

4. Hours and response target

Support requests are processed on business days between 13:00 and 21:00 GMT+8, generally in the order received. We aim to provide an initial response within two business days. This is a response target, not a guaranteed resolution time. Complex issues, investigation, holidays and unusually high request volume may take longer.

Please review the documentation before opening a request and provide the information reasonably needed to reproduce the issue. Support is subject to fair use.
